Any software development or design services provided by LupaSoft Ltd will be subject to a separate written agreement between you and us. These Terms apply in addition to any such agreement.

4.2 Project Scope

All projects will be defined by a written specification or statement of work. Any changes to the agreed scope may result in additional charges and extended timelines.

4.3 Client Responsibilities

Clients are responsible for:

  • Providing accurate and complete information and materials as required
  • Timely feedback and approvals as outlined in project agreements
  • Ensuring they have the right to use any materials provided to us
  • Payment of fees in accordance with agreed terms

5. Intellectual Property

5.1 Our Intellectual Property

All intellectual property rights in our Website, Products, and any materials we create remain our property or that of our licensors. You may not use, copy, modify, or distribute any of our intellectual property without our prior written consent.

5.2 Client Materials

You retain ownership of any materials you provide to us. By providing materials, you grant us a licence to use them for the purpose of delivering our Services.

5.3 Deliverables

Ownership and licensing of deliverables will be specified in individual project agreements. Unless otherwise agreed in writing, intellectual property rights in custom software developed for clients will transfer to the client upon full payment.

6. Fees and Payment

6.1 Quotations

All quotations are valid for 30 days unless otherwise stated. Quotations are estimates based on information provided and may be subject to change if requirements change.

6.2 Payment Terms

Payment terms will be specified in individual project agreements. Unless otherwise agreed, invoices are payable within 14 days of the invoice date.

6.3 Late Payment

We reserve the right to charge interest on overdue amounts at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

7. Limitation of Liability

7.1 General

Nothing in these Terms excludes or limits our liability for death or personal injury arising from our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

7.2 Exclusions

To the extent permitted by law, we exclude all conditions, warranties, representations, or other terms which may apply to our Website or Services, whether express or implied.

7.3 Liability Cap

Our total liability to you for any loss or damage arising out of or in connection with these Terms or our Services shall not exceed the total fees paid by you for the relevant Services in the 12 months preceding the claim.

We will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill.

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

10. Termination

We may terminate or suspend your access to our Website immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Website will cease immediately.
